Terms of Service

These terms are an agreement between you and Innovaduck Ltd, registered in England and Wales (company no. 16016584), for use of Rotuli: the rotuli.co.uk website, the Rotuli API, and the Rotuli MCP interface (together, the "Service"). By creating an account or using an API key you accept these terms.

1. The Service

Rotuli aggregates data about UK companies from official public sources — including Companies House, the Insolvency Service, and HM Land Registry — into normalised profiles with machine-readable risk signals, for due diligence and know-your-business (KYB) workflows. The sources, their licences, and update cadences are described on the Data sources page.

2. Accounts and API keys

  • You must provide a valid email address and keep your credentials confidential. API keys are shown once at creation; you are responsible for storing them securely and for all requests made with them.
  • Tell us promptly at privacy@rotuli.co.uk if you believe a key has been compromised, and we will revoke it.
  • Each tier carries a request allowance and rate limits, described on the pricing page and enforced by the API.

3. Acceptable use

You must not:

  • use the Service for any unlawful purpose;
  • attempt to circumvent authentication, rate limits, or tier restrictions, or probe or disrupt the Service's infrastructure;
  • resell or redistribute the data as a standalone dataset or service. In particular, HM Land Registry data is licensed to us for value-added use and must not be republished by you as a raw dataset;
  • use the data in a way that implies endorsement by Companies House, HM Land Registry, or any other government body.

If you republish data obtained through the Service, you are responsible for complying with the underlying source licences, including Open Government Licence attribution — see Data sources.

3.1 HM Land Registry data — conditions we must pass on

Land ownership data in the Service (the land_holdings field, drawn from HM Land Registry's UK Companies that Own Property dataset) reaches you under a licence from HM Land Registry that obliges us to impose the following conditions on you. They apply in addition to the rest of this section, and you must not:

  • copy, sell, distribute, send, or otherwise use that data for any purpose other than the permitted use described in these terms — namely receiving it as part of the combined, value-added entity profile the Service produces;
  • publish, commercially exploit, sell, license, or distribute it, in whole or in part, as a standalone product or service — that is, without combining it with other data into something enhanced or value-added;
  • use it for direct marketing of any kind, including contacting registered proprietors to offer goods or services or to make other offers;
  • use any HM Land Registry title number in a way that interrupts, damages, or impairs HM Land Registry's own systems (such as Business Gateway) or access to them;
  • sub-license these rights onward. You may use the data within your own product; your own end users acquire no right to sub-license it further.

Property addresses in that dataset are processed against Royal Mail's PAF® database and are restricted accordingly, which is why the Service returns a postcode rather than a full address. If you need full addresses for this data you must obtain permission from Royal Mail directly.

If our licence from HM Land Registry ends, your right to use data obtained under it ends at the same time, and you must delete that data and remove it from your systems. We will tell you if this happens.

4. Your responsibilities for personal data

Data returned by the Service can include personal data from public registers (for example, persons with significant control). When you retrieve it, you act as an independent data controller of your use of it and must comply with the UK GDPR and the Data Protection Act 2018, including having your own lawful basis and honouring data subjects' rights. Our own processing is described in the Privacy Policy.

5. Data accuracy and risk signals

  • The data originates from public registers and is provided as is. We normalise and cache it but do not verify it independently; registers can contain errors and our caches can briefly lag the source (see cache windows on the Data sources page).
  • Risk signals are automated indicators derived from register data. They are not advice, a credit reference, or a recommendation to accept or reject anyone. Decisions with legal or similarly significant effects on a person must involve human review; you are responsible for your own decision-making thresholds.

6. Plans and billing

  • Paid plans are billed monthly in advance through Stripe. You can change or cancel your plan at any time from the billing portal in your dashboard.
  • Upgrades take effect immediately, and you are charged the new price from that point.
  • Downgrades and cancellationstake effect at the end of the billing period you have already paid for. You keep your current tier's monthly allowance until then, and are billed at the new rate — or stop being billed — from the next cycle.
  • We do not refund part-used billing periods. If something has gone wrong, email support@rotuli.co.uk and we will look at it. Nothing in these terms affects your statutory rights if you are contracting with us as a consumer rather than in the course of a business.
  • If payment fails we will notify you and may downgrade or suspend paid features after a reasonable period.
  • We may change prices with at least 30 days' notice by email; changes apply from your next billing cycle.

7. Availability

We aim for high availability but the Service is provided without uptime guarantees, and it depends on upstream registries that offer no guarantees to us. Where an upstream source is unavailable the API returns partial responses and identifies the failed source rather than failing outright.

8. Liability

Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence or for fraud. Subject to that, we are not liable for indirect or consequential loss, loss of profit, or loss of data, and our total aggregate liability arising out of the Service in any 12-month period is limited to the fees you paid us in that period (or £100 if you paid none).

9. Suspension and termination

You can close your account at any time. We may suspend or terminate access for breach of these terms, non-payment, or where required to protect the Service or comply with the law, giving notice where reasonably practicable.

10. Changes to these terms

We may update these terms as the Service evolves. For material changes, account holders will be notified by email at least 14 days before the changes take effect. Continued use after that date is acceptance of the updated terms.

11. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
